Terms of Service

Welcome to Nellie Shoes. These Terms of Service ("Terms") govern your use of the Nellie Shoes marketplace at nellieshoes.com (the "Service"). By creating an account or making a purchase, you agree to these Terms.

1. Eligibility

You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use the Service. By signing up, you represent that you meet this requirement and that the information you provide is accurate.

2. Buyer accounts

Anyone may register a buyer account. Buyer accounts let you bid, purchase, and track orders. You're responsible for the security of your password and for all activity under your account.

3. Seller accounts (invite-only)

Becoming a seller on Nellie Shoes is by application only. Approved sellers must complete Stripe Connect identity verification before listing. By becoming a seller, you represent that:

• Every listing is for an item you legally own and may resell;
• The item is described truthfully and is not counterfeit;
• You will ship promptly when an order is paid (within 3 business days);
• You are responsible for collecting and remitting any sales, use, or income tax applicable to your sales.

4. Marketplace role

Nellie Shoes is a marketplace that connects buyers and sellers. We do not take title to the merchandise. Sellers are responsible for the items they list and for fulfillment. Funds are held in escrow on our platform via Stripe and released to sellers upon delivery confirmation or after a holding period (currently 7 days post-shipment).

5. Fees

Nellie Shoes charges a platform fee on each completed sale. The current rate is 5% of the buyer total, deducted before payout to the seller. Stripe processing fees are paid separately by the platform out of its own balance. Fees are subject to change with 30 days' notice.

6. Counterfeits and authenticity

Listing or selling counterfeit goods is strictly prohibited. If a buyer reports an item as counterfeit and we determine it is, the seller is liable for a full refund and may be banned from the platform.

8. Prohibited conduct

You may not: harass other users, attempt to manipulate prices, create accounts to shill bids, scrape the Service at scale, or otherwise interfere with the platform. We reserve the right to ban accounts engaged in any of the above.

9. Intellectual property

The Nellie Shoes name, design, and code are owned by KEUSER INDUSTRIES. Listing photographs are owned by the seller; by uploading them you grant Nellie Shoes a non-exclusive, royalty-free license to display them in connection with your listing.

10. Disclaimer and limitation of liability

The Service is provided "as is." To the fullest extent permitted by law, Nellie Shoes disclaims all warranties, express or implied. Our aggregate liability for any claim arising from your use of the Service will not exceed the platform fees we have collected from you in the prior 12 months.

11. Termination

We may suspend or terminate accounts that violate these Terms. You may delete your account at any time from the Account page; certain order history may be retained for legal and tax recordkeeping.

12. Changes

We may update these Terms periodically. Material changes will be announced on the site and emailed to active users with 14 days' notice.
